Terms of Service

1. Introduction

These terms of service (“Terms”) govern your use of:

  • The Archivers marketing website at archivers.ai
  • The Archivers application at app.archivers.ai
  • Any professional services provided by Archivers, a trading name of Broadhurst Digital Limited (“we”, “us”, “our”)

By using our website, creating an account, or engaging our services, you agree to these Terms. If you do not agree, please do not use our website, application, or services.

2. About us

Archivers is a trading name of Broadhurst Digital Limited, a company registered in England and Wales. Our registered office address is available upon request. You can contact us at hello@archivers.ai.

3. Our services

Archivers provides AI-powered archive cataloguing services for heritage organisations through two channels:

3.1 Application (app.archivers.ai)

Our self-service platform allows organisations to apply AI-assisted cataloguing to their own archive materials. Features include:

  • Upload and organize archive materials into accessions.
  • Automated classification, OCR, image analysis, audio transcription, and video description using AI models.
  • Manual editing and refinement of AI-generated metadata.
  • ISAD(G)-compatible archival description templates.
  • Sensitivity classification (public, restricted, closed).
  • Export of catalogue data in structured formats (EAD3, BagIt, CSV, and more).

The application is provided on a subscription basis with multiple tiers (Free, Pro, Team, Enterprise). Each tier has different storage limits, retention periods, and feature access as described on our pricing page.

3.2 Professional Cataloguing Services

For full-service engagements, we provide bespoke archive cataloguing services including:

  • Consultation and discovery sessions to understand your collection.
  • Data model design tailored to your cataloguing standards.
  • AI-assisted metadata generation with expert human review.
  • Delivery of structured catalogue data in agreed formats.

The specific scope, deliverables, timelines, and pricing for professional engagements will be agreed in writing before work begins.

4. Use of our website

You may use our website for lawful purposes only. You must not:

  • Use the site in any way that breaches applicable local, national, or international law or regulation.
  • Use the site to transmit unsolicited or unauthorised advertising or promotional material.
  • Attempt to gain unauthorised access to our systems or any systems connected to our website.
  • Use automated tools to scrape, copy, or reproduce website content without our written consent.

5. Application accounts and acceptable use

5.1 Account Creation

To use the application, you must create an account by providing:

  • Your name
  • A valid email address
  • A secure password

You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Notifying us immediately of any unauthorized use of your account.

You must be at least 18 years old to create an account. If you are creating an account on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

5.2 Acceptable Use Policy

When using the application, you agree NOT to:

  • Upload illegal content: materials that violate UK law, including content that is defamatory, obscene, abusive, or infringes intellectual property rights.
  • Upload malware: viruses, malicious code, or files designed to damage or disrupt systems.
  • Abuse the service: use automated tools to scrape, copy, or overload our systems; attempt to reverse-engineer our AI models or application code; or use the service for purposes other than archive cataloguing.
  • Violate privacy rights: upload personal data of living individuals without lawful basis, or process sensitive personal data (health, biometric, criminal records) without appropriate safeguards.
  • Impersonate others: misrepresent your identity or affiliation with any person or organisation.
  • Resell or redistribute: resell, sublicense, or otherwise commercialize access to the application without our written consent.

We reserve the right to suspend or terminate accounts that violate this acceptable use policy.

5.3 Your Archive Materials and Content

Ownership: you retain all ownership rights to the archive materials and metadata you upload to the application. We do not claim ownership of your content.

License to process: by uploading materials, you grant us a limited license to:

  • Store your files on our infrastructure (Vercel Blob, Neon database).
  • Process your files using third-party AI services (Mistral AI, Google Gemini) to generate metadata, classifications, OCR text, and descriptions.
  • Display your materials and metadata back to you within the application interface.

This license exists solely to provide the service and terminates when you delete your content or account.

Data processing: uploaded materials are processed by third-party AI providers as described in our Privacy Policy (Section 3.3). We do not use your content to train our own models. However, you should review the policies of Mistral AI and Google Gemini if you have concerns about specific materials.

5.4 Subscription Tiers and Billing

Free tier: provided at no cost with limited storage and 28-day file retention. We may change or discontinue the free tier at any time with reasonable notice.

Paid tiers (Pro, Team, Enterprise): pricing, storage limits, and features are as described on our pricing page at the time of subscription. Paid subscriptions are billed monthly or annually in advance. You authorize us to charge your payment method for recurring subscription fees.

Cancellation: you may cancel your paid subscription at any time. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial months.

Price changes: we may change subscription pricing with 30 days' notice. Price changes apply to new subscriptions and renewals, not to active subscriptions within their current billing period.

5.5 Storage Limits and File Retention

Each subscription tier has storage limits as described on our pricing page. If you exceed your storage limit:

  • You will be unable to upload additional files until you delete existing files or upgrade to a higher tier.
  • We may delete the oldest files to bring your account within limits, after notifying you via email.

File retention:

  • Free tier: files are automatically deleted 28 days after upload.
  • Paid tiers: files are retained indefinitely while your subscription is active.
  • After cancellation: if you cancel a paid subscription, your files will be retained for 90 days to allow for renewal or data export. After 90 days, all files and metadata will be permanently deleted.

5.6 Service Availability and Support

We strive to maintain high availability of the application, but we do not guarantee uninterrupted or error-free service. We may suspend the service temporarily for maintenance, updates, or to address security issues.

Support: support is provided via email at hello@archivers.ai and through our Help Centre at help.archivers.ai. Response times vary by subscription tier. Free tier users receive best-effort support. Paid tier users receive priority support during UK business hours.

6. Intellectual property

All content on this website — including text, images, design, logos, and code — is the property of Broadhurst Digital Limited or its licensors and is protected by copyright and other intellectual property laws.

You may not reproduce, distribute, or create derivative works from any content on this website without our prior written consent.

Blog content may be shared or quoted with appropriate attribution and a link back to the original article.

7. Professional client engagements

Where we provide cataloguing services to your organisation:

  • Proposals and agreements: all engagements will be governed by a separate statement of work or service agreement signed by both parties.
  • Your materials: you retain ownership of all archive materials and data you provide to us. We will handle your materials with appropriate care and in accordance with agreed security measures.
  • Our deliverables: upon payment in full, you will own the catalogue metadata we produce for your collection. We retain ownership of our proprietary tools, processes, and AI models.
  • Confidentiality: we will treat your archive materials and organisational information as confidential and will not share them with third parties without your consent, except as necessary to deliver the agreed services.

8. AI-generated content and limitations

AI accuracy: our application uses third-party AI models (Mistral AI and Google Gemini) to generate metadata, classifications, and descriptions. While these models are trained on large datasets, they are not perfect and may produce:

  • Inaccurate or incomplete metadata.
  • Misclassifications of document types, sensitivity levels, or subject matter.
  • OCR errors when extracting text from images or documents.
  • Inappropriate or biased content in generated descriptions.

Your responsibility: you are responsible for reviewing, editing, and verifying all AI-generated metadata before relying on it or publishing it. We provide tools to manually edit AI outputs, and you should use them to ensure accuracy.

No warranty: we do not warrant that AI-generated content will be accurate, complete, or suitable for any particular purpose. You use AI-generated metadata at your own risk.

9. Limitation of liability

To the fullest extent permitted by law:

9.1 Service Provided "As Is"

  • Our website and application are provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • We do not guarantee that the website or application will be uninterrupted, error-free, secure, or free from viruses or malicious code.
  • We do not warrant the accuracy, completeness, or reliability of AI-generated metadata, classifications, or descriptions.

9.2 Exclusion of Consequential Damages

  • We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or goodwill, arising from:
    • Your use of or inability to use our website or application.
    • Inaccurate or incomplete AI-generated metadata.
    • Unauthorized access to or alteration of your data.
    • Data loss due to system failures, account deletion, or retention policy expiry.
    • Third-party actions or failures (including AI providers, hosting providers, or payment processors).

9.3 Cap on Liability

  • Free tier users: our total liability to you for any claim shall not exceed £100.
  • Paid tier users: our total liability shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.
  • Professional service clients: our total liability shall not exceed the fees paid by you for the specific engagement giving rise to the claim.

9.4 Data Loss and Backup Responsibility

You are solely responsible for maintaining backups of your archive materials. We are not responsible for data loss due to:

  • Automatic file deletion under retention policies (e.g., 28-day deletion for Free tier).
  • Account deletion or termination.
  • System failures, data corruption, or security breaches.
  • Third-party service failures (Vercel, Neon, Mistral AI, Google).

9.5 Mandatory Liability

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence.
  • Fraud or fraudulent misrepresentation.
  • Any other liability that cannot be excluded or limited by law.

10. Third-party links and services

Our website may contain links to third-party websites. We have no control over the content or availability of these sites and accept no responsibility for them. Inclusion of a link does not imply endorsement.

11. Termination and account deletion

Your right to terminate: you may delete your application account at any time through your account settings or by contacting us at hello@archivers.ai. Upon deletion, your account data and uploaded files will be permanently deleted within 30 days.

Our right to terminate: we reserve the right to suspend or terminate your access to our website or application at any time, with or without notice, if we believe you have:

  • Breached these Terms or our Acceptable Use Policy.
  • Used the service in a manner that poses security or legal risks.
  • Failed to pay subscription fees (for paid tiers).
  • Remained inactive for an extended period (see Privacy Policy Section 6.2).

Effect of termination: upon termination by either party, your access to the application will cease immediately. Your data will be handled according to our Privacy Policy (Section 6.2). We are not liable for any loss of data or content resulting from termination.

12. Changes to these terms

We may revise these Terms at any time by updating this page. Changes take effect when published. Your continued use of the website after changes constitutes acceptance of the revised Terms.

13. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of our website or application shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Informal resolution: before initiating formal legal proceedings, we encourage you to contact us at hello@archivers.ai to attempt to resolve any disputes informally.
